- (a) Adnet International Limited, a wholly owned subsidiary of China Adnet Enterprises, Inc., was established in February 2005 thru an incorporation in the New Zealand offshore jurisdiction of the Samoa Islands. Our operational head office is registered in Hong Kong and we conduct our primary business activities within China thru a wholly owned and managed subsidiary, Adnet Enterprise (China) Limited. Adnet is an emerging Chinese Internet media and services company providing value-added multimedia products and services. We deliver our products and services to our users primarily from our Internet portal, www.2adnet.com and related websites managed by Adnet. Our core business activities include online advertising and commercial business solutions. We intend to be a leading Chinese Internet website dedicated to commercial advertising and sales promotions for small and medium business enterprises.
- (b) Business Strategy
Adnet is dedicated to providing effective, low cost online advertising services to our commercial and corporate clients. AdnetĄŻs commercial business solutions provide professional consulting services to businesses intending to utilize the Internet as a primary or secondary marketing tool. Consequently, these clients will subsequently become prospective advertisers using our portal and will enable them to promote their products and services effectively. As part of AdnetĄŻs overall commercial solution, these clients are strongly motivated to promote the awareness of AdnetĄŻs Internet portal at the grassroots level via their direct interaction with their customers. Such direct promotional activities thru the commercial clientsĄŻ customer network will directly enhance user traffic and enable further promotion of their goods and services.
Our online advertising services consist of two distinct placements of advertisements for our clients. Firstly, advertisements may be placed on our Internet portal in various forms such as banners, pop-ups or links logo. Secondly, advertisers may select to have their own web page(s) set up via direct access thru our Internet portal. Since the increase in the availability of free online services is a direct function of increasing user traffic, we are committed to seeing that these free online services will be provided on a timely basis, thereby making our online advertising services more attractive to our clients.
To develop our online advertising business, we will use our strengths and industrial alliances in other activities to build and cement relationships with key merchants. For example, we will utilize our strength in direct relationship marketing to create an autonomous commission based sales force for the recruitment of prospective advertisers. To realize the immense business opportunities provided by a population of 85 million people in the Guangdong area, we anticipate growing this grassroots sales force from the current pilot recruitment of 500 to a formidable 5,000 independent registered agents by the end of 2006. By the end of 2006, we expect to post up to a minimum of 20,000 directory/advertising listings thru our portal and to achieve an average web page view of 1,000,000 per day.
In addition, we further develop online advertising relationships with other Internet companies to cross-promote their websites by directing or sending advertising emails to our email subscribers and registered advertisers and to place advertisements directly on our portal. Online advertising contracts are flexible and may range from a term of one week to a year, with varying degree of content and contractual value. We will market our online advertising services to small and medium enterprises that would like to target our young and trendy user base, such as insurance groups, real estates companies, food and entertainment establishments, groceries stores/supermarkets, electronics/home furnishing chain outlets, franchise retail stores, travel agencies and auto dealerships.
In addition, we also offer, as part of our online advertising package, online directory listing services to our clients. There are two types of listings: priority and non-priority listing. A fee will be charged for priority listing, so as to receive priority ranking of their advertisements (or website) when a user conducts keyword search on our online directory. We do not charge any fee for non-priority placement on the online directory listing to ensure completeness of all advertisers.
Our Internet navigational and search capabilities allow users to browse our directory listings thru a Chinese or English keyword search that scans the entire content of our directory. Currently, our directory categorized into over 80 principal sections and further organized into 120 subcategories. We will develop partnerships with online directory listings companies in China to provide our users with comprehensive and enhanced search capabilities. Based on feedbacks from our grassroots marketing sales force, we anticipate our directory to contain in excess of 100,000 Chinese websites listings by the end of 2007.
